1. Acceptance of Terms
By accessing or using any services provided by Syrup, a trading name of New Horizon Code PTY LTD ("we", "us", "our"), you confirm that you have read, understood, and agree to be bound by these Terms of Service ("Terms").
If you do not agree to these Terms, you must not use our services.
2. Services
Syrup provides digital services including, but not limited to:
- Web and software development
- Application management and hosting
- Design, consulting, and advisory services
- Related professional and technical services
- Specific deliverables, timelines, pricing, and scope may be defined separately in proposals, statements of work, emails, or written agreements ("Service Agreements"). Where there is a conflict, a Service Agreement will prevail over these Terms.
3. Submission of Scopes and Materials
You may submit project scopes, briefs, specifications, designs, documents, or other materials ("Submitted Materials") to Syrup for the purpose of reviewing, quoting, or delivering services.
By submitting any materials, you confirm that:
- You have the right to submit and use those materials
- The materials do not infringe third-party rights
- Syrup may use the materials solely to assess, plan, and deliver the requested services
4. Use of Third-Party Contractors
To deliver services efficiently, Syrup may engage third-party contractors and professional service providers, including developers, designers, consultants, project managers, and support personnel.
By using our services or submitting a scope, you expressly agree that:
- Submitted Materials and project-related information may be shared with such contractors solely for service delivery
- Contractors are engaged under confidentiality and data protection obligations
- Syrup remains responsible for service delivery, but does not guarantee the availability of any specific individual contractor
5. User Accounts
Where an account is required, you are responsible for:
- Maintaining the confidentiality of login credentials
- All activity occurring under your account
- Promptly notifying us of any unauthorised use
- We reserve the right to suspend or disable accounts where security or misuse is suspected.
6. Acceptable Use
You agree not to:
- Use the services for unlawful, fraudulent, or deceptive purposes
- Interfere with or disrupt our systems or infrastructure
- Submit malicious code, harmful content, or misleading information
- Copy, use, or distribute another party's content without authorisation
- We may suspend or terminate access for violations of this section.
7. Intellectual Property
a. Our Intellectual Property
All intellectual property rights in our services, tools, processes, and materials remain the property of Syrup or its licensors, unless otherwise agreed in writing.
b. Your Materials
You retain ownership of Submitted Materials. You grant Syrup a non-exclusive, limited licence to use those materials solely for providing services.
Unless expressly agreed, no ownership of intellectual property is transferred under these Terms.
8. Fees and Payments
Fees, payment schedules, and invoicing terms will be agreed in advance through a Service Agreement or written confirmation.
Unless otherwise stated:
- Fees are exclusive of GST
- Invoices must be paid within the stated timeframe
- Late payments may result in suspension of services
- We reserve the right to revise pricing for future services with notice.
9. Termination
We may suspend or terminate your access to services immediately if:
- These Terms are breached
- Payment obligations are not met
- Continued service poses legal, security, or operational risk
- Termination does not affect accrued rights or outstanding payment obligations.
10. Disclaimers
Services are provided on an "as is" and "as available" basis.
To the maximum extent permitted by law, Syrup does not warrant that:
- Services will be uninterrupted or error-free
- Outcomes will meet specific business, financial, or technical expectations
- Third-party platforms or tools will remain available
11. Limitation of Liability
To the maximum extent permitted by law, Syrup will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, arising from use of or inability to use the services.
Our total liability for any claim will not exceed the fees paid for the relevant services giving rise to the claim.
12. Changes to These Terms
We may update these Terms from time to time. Continued use of the services after changes take effect constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of Queensland, Australia, and the parties submit to the exclusive jurisdiction of its courts.
